Acceptable Use Policy

Acceptable Use Policy (“AUP”) for Dalet Services and Products, by Dalet France and its affiliates (collectively “Dalet”) 

In general, acceptable use means respecting the rights of other computer users, the integrity of physical facilities and all pertinent license and contractual agreements. If a user is found to be in violation of the AUP, Dalet may take action, up to and including the restriction and possible loss of account privileges and access to services and products. Users are also subject to federal, state and local laws governing many interactions that occur on the Internet. 

This document establishes specific requirements for the use of Dalet Services and products. Dalet reserves the right to change this AUP at any time by posting a revision at www.dalet.com/legal. 

1. Registration and Privacy 
   1. Account and Registration.  
      1. Prior to using Dalet services and products, Dalet may require certain information (“Registration Data”) to create an account (“Account”). In certain circumstances, Dalet may issue you one or more subaccounts in connection with your Account, and any such Dalet-authorized subaccount(s) shall be deemed part of your Account for purposes of this AUP. You must provide accurate and complete Registration Data. Failure to provide all Registration Data to create an Account may prevent access to any or all Services and products, and failure to maintain and update accurate, current and complete Registration Data may be deemed a breach of this AUP that may result in suspension or termination of access to any or all Services and/or products. All Registration Data becomes the exclusive property of Dalet. Dalet reserves the right to use and reuse all Registration Data and other User personal information subject to the Dalet Privacy Policy.  
      2. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your Account, including, without limitation, the confidentiality and use of your User identification and passwords. If you create an Account or use the Services on behalf of another person or entity, you must have the authority to accept this AUP on their behalf.  
      3. When you establish an Account, you will be prompted to make selections about which Services and products you desire Dalet to provide. You may change your selections; provided, however, that the last preferences reflected in the Account shall be conclusive with respect to Dalet’s provision of the Services and products to you.  
   2. Password. Access to your Account and many Services and products requires a secure, individual password. You must protect your passwords from disclosure or unauthorized use and you are fully responsible for all activities that occur under your password. In the event of a suspected or actual breach of security related to your password and/or any Services or products, you must (i) immediately notify Dalet of any unauthorized use of your password or Account or any other breach of security, and (ii) ensure that you exit from your Account at the end of each session. Dalet is not liable for any loss or damage resulting from your failure to comply with the security requirements herein of any Account or your failure to maintain the confidentiality of passwords. 
   3. Termination/Suspension of Account. Dalet may immediately terminate or suspend access to the Account(s) and/or remove a particular item of content based on conduct that Dalet has reasonable belief (which may be based on information provided by third parties) may include or involve, without limitation: (i) violation of third party rights such as copyright, trademark and rights of privacy and publicity; (ii) violation of Dalet’s Prohibited Activities or restrictions on Prohibited Content (each as further described herein); (iii) interference with the proper functionality of any or all the services and products; and/or (d) unlawful conduct in any local, state, federal or foreign jurisdiction. 
2. Restrictions and Other Obligations. 
   1. Services and Products Restrictions. You are expressly prohibited from: (i) selling, renting, leasing, sublicensing, assigning, or otherwise transferring or distributing any copies of the Services or products to third parties or otherwise exploiting, using and/or accessing the services and products (or any portion thereof) in any way not expressly permitted herein; (ii) modifying, translating, reverse engineering, decompiling, or disassembling the Services and products or altering any accompanying documentation, including our models, algorithms, or systems; (iii) creating derivative works based upon the Services and products; (iv) altering, destroying or otherwise removing any proprietary notices, images or logos displayed, provided on or embedded within the services and products; (v) restricting or inhibiting others use or enjoyment of the Services and products; (vi) gaining unauthorized access to other Accounts; (vii) impersonating or otherwise misrepresenting any person or entity, or making false or misleading indications of origin or fact; (viii) interfering with or disrupting the Services and products or Dalet’s servers or networks connected thereto, or disobeying any requirements, procedures, policies or regulations of networks connected to the services and products; (ix) collecting or storing personal information about other Users for commercial or unlawful purposes; (x) impersonating any person or entity, including, but not limited to Dalet (or one of its vendors’) officials, employees, or falsely stating or otherwise misrepresenting Your affiliation with a person or entity or employ misleading email addresses or falsify information in the header, footer, return path, or any part of any communication, including emails, transmitted through the services and products; (xi) any activities that constitute or aid in software piracy, including but not limited to making available tools that can be used for no purpose other than for “cracking” software or other copyrighted content (x) engaging in any action that could reasonably interfere with the functionality or integrity of the Services and products (xi) exporting the services or products in an illegal manner (xii) introducing viruses, malicious code, denial of service attacks, or any other mechanism meant to disrupt any network or product, (xiii) use the Services in a way that infringes, misappropriates or violates anyone’s rights, or (xiv) represent that Output was human-generated when it was not. All of the foregoing prohibited activities set forth in this Section 2 are individually and collectively referred to herein as “Prohibited Activities”. 
   2. Content Restrictions and Obligations. Nothing in this AUP shall be construed to grant, by implication, estoppel, or otherwise, any license or right to use any third party content accessed via the services and products without the prior written permission of the content owner. Any and all rights not expressly granted herein are reserved to Dalet, its licensors, suppliers, resellers, or third party content owners. You are solely responsible for all matters arising out of or in connection with content including, without limitation, compliance with all applicable laws, rules and regulations, and obtaining all third party consents and other rights, approvals, licenses, consents, waivers, and other permissions necessary for the services and products to be utilized hereunder and Dalet is not responsible for the: (i) selection, acquisition, distribution and licensing of content; or (ii) acquisition and payment of any third party licenses, rights clearances or other permissions needed from unions, guilds or other entities to use content in the manner authorized by you in your account. You are solely responsible for maintaining copies of the content and shall take precautionary measures to backup and protect it. Dalet has no obligation to provide you (or any third party) with backup or archival copies of any content uploaded or distributed via the Services and products. 
   3. Prohibited Content. You shall not use the Services and products to upload, download, post, e-mail, transmit, transfer, distribute, display or link to content that: (i) promotes illegal activity, or provides instructions for illegal activity; (ii) exploits images or discloses personal information of children under eighteen (18) years of age or otherwise harms minors in any way; (iii) you do not have the right to use for the purposes of the Services and products, including to content that you do not have a right to transmit under any law or regulation or under contractual or fiduciary relationships including but not limited to inside information and confidential information learned or disclosed as part of employment or agency relationships or pursuant to nondisclosure agreements; (iv) is unlawful, harmful, threatening, abusive, violent, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful or racially, sexually, ethnically or otherwise objectionable; (v) infringes the intellectual property or proprietary rights of any third party or contributes to inducing or facilitating such infringement.; (vi) is in any way related to any raffle, sweepstakes, contest or game requiring a fee by participants; (vii) directly or indirectly is used for “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other like form of solicitation; (viii) contains any malicious or invasive software, or that could diminish the quality of, interfere with the performance of, or impair the functionality of the services and products; or (ix) contains advertising or offers for sale for, or sells any item you are prohibited from advertising or selling by any applicable local, state, national, or international law, including regulations having the force of law, or advertising, offers for sale, or sales any of the following items: Any firearms, explosives, or weapons; any food that is not packaged or does not comply with all laws governing the sale of food to consumers by commercial merchants; any alcoholic beverages; any tobacco products for human consumption, including, without limitation, cigarettes and cigars, any items that are indecent or obscene, that are hateful or racially, sexually, ethnically or otherwise objectionable, that contain child pornography, that are otherwise pornographic in nature; any controlled substances or pharmaceuticals; any items that are counterfeit or stolen; any dangerous items; any goods or services that do not, in fact, exist; any registered or unregistered securities; any items that violate or infringe the rights of other parties; any items that you do not have the legal right to sell; any items where doing so through Dalet or the services and products would cause Dalet to violate any law. All of the foregoing prohibited uses set forth in this Section 2(c) are individually and collectively referred to herein as “Prohibited Content”. 
   4. Other Legal Restrictions. The Services and products may not be used to intentionally or unintentionally violate any applicable local, state, national or international law, including, without limitation, regulations promulgated by or any rules of any national or other securities exchange, including, without limitation, Euronext, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law or use Dalet or the services and products to sell, purchase, or offer to sell or purchase any registered or unregistered securities, or upload, post, email, otherwise transmit, or post links to any material that is false, misleading, or designed to manipulate any equity, security, or other market. You agree to comply with all applicable laws, rules and regulations that apply to their use of the services and products. You, and not Dalet, shall be responsible for ensuring that Your use of the services and products do not constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law, regulation or ordinance, including, without limitation, laws, regarding the transmission of copyrighted, trademarked content or personally identifiable information or controlled technical data.
   5. Age Restriction and Responsibility for Minors. Use of the Services and products is not intended for persons under the age of 18 (“Minors”). Minors are not authorized by Dalet to use the Services and products, even if Minors set up an Account or accept the terms of any agreement. Parents or guardians may authorize Minors between the ages of 13 and 17 to use the services and products, provided they assume all responsibility and legal liability for the conduct of such Minor including, without limitation, monitoring the Minor’s access and use of the services and products. If Dalet learns that anyone under the age of 13 is using the services and products, Dalet will require verified parental or guardian consent. 
3. Agentic AI Services.  This Section 3 applies to all uses of Dalet’s Agentic AI Services, meaning AI-powered features that operate autonomously on behalf of users to perform tasks, make decisions, or manipulate content within a user’s instance with limited or no direct human instruction for individual actions. All other provisions of this AUP continue to apply to Agentic AI Services in addition to the requirements set forth below. For the avoidance of doubt, any action taken by the Agentic AI Services on your behalf or at your direction shall be treated as your action for purposes of this AUP. 
   1. Human Oversight and Accountability. You are responsible for maintaining meaningful human oversight of the Agentic AI Services operating within your instance. At a minimum, you must: (i) designate one or more qualified individuals within your organization who are responsible for supervising and monitoring the Agentic AI Services; (ii) establish and enforce internal policies governing the use of the Agentic AI Services, including policies that define the scope of actions the agent is permitted to take; (iii) periodically review the actions and outputs produced by the Agentic AI Services for accuracy, appropriateness, and compliance with applicable laws; and (iv) implement controls to override, pause, or reverse actions taken by the Agentic AI Services when necessary. Failure to maintain adequate human oversight may result in suspension or termination of access to the Agentic AI Services. 
   2. Prohibited Autonomous Actions. In addition to the Prohibited Activities set forth in Section 2, you shall not use, configure, or direct the Agentic AI Services to autonomously perform any of the following: 
      1. Surveillance and Unauthorized Data Collection: monitoring or tracking individuals’ online activities, behaviors, or movements without appropriate notification or consent; collecting, compiling, or analyzing personal information to create profiles based on individuals’ protected attributes or sensitive characteristics; using facial recognition, biometric identification, or similar technologies; or conducting mass data collection across multiple systems or platforms without authorization; 
      2. Harmful Content Generation and Distribution: creating websites, domains, or communications that mimic legitimate sources for the purpose of phishing, social engineering, or fraud; generating deepfakes, synthetic media, or impersonations of individuals (whether private or public) without their consent; or producing content designed to deceive, manipulate, or mislead recipients about its origin or authenticity; 
      3. Scaled Abuse and Coordinated Manipulation: spamming government services, emergency systems, or crisis helplines; overwhelming servers or networks with traffic to disrupt services; coordinating harassment or abuse campaigns across multiple platforms or accounts; manipulating online polls, voting systems, traffic metrics, or engagement metrics; creating or managing multiple accounts to evade detection or circumvent platform safeguards; automating influence operations or coordinated inauthentic behavior; or bulk-reporting individuals, users, or content through abuse reporting systems; and 
      4. Unauthorized System Access and Manipulation: installing malware, backdoors, or monitoring software without authorization; executing commands that attempt privilege escalation or system exploitation; performing actions that could compromise critical infrastructure or emergency services; engaging in unauthorized, illegal, or fraudulent financial transactions or payment processing; or accessing or modifying another person’s account using stored credentials without authorization. 
   3. Transparency and Disclosure. When the Agentic AI Services produce Outputs that are presented directly to individuals outside your organization (including Users, customers, or members of the public), you must: (i) clearly disclose that AI has been used to generate or substantially contribute to such Outputs; and (ii) where the Agentic AI Services interact directly with third parties (e.g., responding to inquiries or communications), ensure that such third parties are informed that they are interacting with an AI system and not a human. These disclosure obligations apply regardless of whether the Agentic AI Services are acting under real-time user direction or operating autonomously. 
   4. Data Handling and Privacy in Agentic AI. You are solely responsible for ensuring that any data processed by the Agentic AI Services on your behalf complies with all applicable data protection and privacy laws. Without limiting the foregoing: (i) you shall not direct or configure the Agentic AI Services to process personal information without a lawful basis; (ii) you shall not use the Agentic AI Services to autonomously collect, aggregate, or process sensitive personal information without appropriate safeguards and, where required, explicit consent; (iii) you shall ensure that the Agentic AI Services do not autonomously transfer personal data outside of jurisdictions permitted under applicable law without appropriate transfer mechanisms in place; and (iv) you shall implement appropriate data minimization practices, ensuring the Agentic AI Services process only the personal data necessary for the specific task being performed. 
   5. Scope Restrictions and Configuration Responsibilities. You are responsible for properly configuring the scope of actions that the Agentic AI Services may take within your instance. You must: (i) define and enforce boundaries on the types of content the Agentic AI Services may create, modify, or delete; (ii) restrict the Agentic AI Services’ access to only those systems, data, and content necessary for the intended purpose; (iii) not configure the Agentic AI Services to exceed the permissions or access levels granted to you under the Agreement; and (iv) regularly review and update the scope of permissions granted to the Agentic AI Services to reflect changes in your business requirements and risk profile. You acknowledge that actions taken by the Agentic AI Services within the scope of your configured permissions are your responsibility, and Dalet shall not be liable for any consequences arising from overly broad or improperly configured agent permissions. 
   6. Misuse of Agentic AI Capabilities. You shall not use the Agentic AI Services to circumvent, evade, or undermine any restriction or safeguard set forth in this AUP, the Agreement, or any applicable law. Without limiting the foregoing, you shall not: (i) use the autonomous nature of the Agentic AI Services to perform actions at scale that would be prohibited if performed manually; (ii) exploit the Agentic AI Services’ autonomous capabilities to evade detection by moderation systems, rate limits, or other platform controls; (iii) chain, sequence, or combine Agentic AI actions in a manner designed to produce a result that is individually or collectively prohibited under this AUP; (iv) use the Agentic AI Services to test or probe the vulnerabilities of Dalet’s systems or any third-party systems without explicit written authorization; or (v) direct or configure the Agentic AI Services to act in ways that you know or reasonably should know will produce harmful, unlawful, or deceptive outcomes. 
   7. Incident Reporting. In the event that you become aware that the Agentic AI Services have taken an action that violates this AUP, applicable law, or that has caused or may cause harm to any person or system, you must: (i) immediately take all reasonable steps to halt, reverse, or mitigate the effects of such action; (ii) promptly notify Dalet in writing of the incident, including a description of the action taken, its known or potential impact, and any remedial steps taken; and (iii) cooperate with Dalet in any investigation or remediation efforts. Failure to report known violations or to take reasonable remedial action may be considered a separate violation of this AUP. 
   8. Enforcement and Remediation. In the event of a violation of this AUP, Dalet may, in its sole discretion: (i) throttle, restrict, or suspend the Agentic AI Services (in whole or in part) pending investigation; (ii) require you to implement additional safeguards, oversight mechanisms, or scope restrictions as a condition of continued access; (iii) revoke specific agent permissions or capabilities; or (iv) terminate access to the Agentic AI Services entirely. Dalet will use commercially reasonable efforts to provide notice prior to taking enforcement action, except where immediate action is necessary to prevent ongoing harm or violations of law. Dalet may also report suspected violations to relevant authorities where required or permitted by applicable law.
